End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Arzana ("Company," "we," "us," or "our") governing your use of the Arzana platform and related services, including integrations with third-party services such as QuickBooks Online (collectively, the "Service").

By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Service.

1. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

2. Restrictions

You agree not to:

  • Copy, modify, or distribute the Service or any part thereof
  • Reverse engineer, decompile, or disassemble the Service
  • Rent, lease, lend, sell, or sublicense the Service
  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to the Service or related systems
  • Use the Service to transmit malicious code or conduct security attacks
  • Remove or alter any proprietary notices or labels on the Service

3. Third-Party Integrations

The Service may integrate with third-party services, including but not limited to QuickBooks Online, Salesforce, and other business applications ("Third-Party Services").

  • Your use of Third-Party Services is subject to the terms and conditions of those services
  • We are not responsible for the availability, accuracy, or content of Third-Party Services
  • You authorize us to access and retrieve data from Third-Party Services on your behalf
  • You are responsible for maintaining valid credentials for Third-Party Services

4. QuickBooks Online Integration

If you connect your QuickBooks Online account to the Service:

  • You authorize Arzana to access your QuickBooks Online data as necessary to provide the Service
  • We will access only the data required for the features you use
  • You can revoke access at any time through your QuickBooks Online account settings
  • Our use of QuickBooks Online data is also governed by Intuit's terms of service

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

6. Intellectual Property

The Service and all related intellectual property rights are and shall remain the exclusive property of Arzana. This Agreement does not grant you any rights to our trademarks, service marks, or logos.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • The results obtained from use of the Service will be accurate or reliable

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ARZANA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar harmful code transmitted through the Service
  • Any errors or omissions in any content

9. Indemnification

You agree to indemnify and hold harmless Arzana and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service or violation of this Agreement.

10. Term and Termination

This Agreement is effective until terminated. We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of this Agreement.

Upon termination:

  • Your license to use the Service will immediately cease
  • You must stop all use of the Service
  • We may delete your data in accordance with our data retention policies

11. Changes to Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on our website or through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Agreement.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in California.

14. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Arzana regarding the Service and supersedes all prior agreements and understandings.
